Mission Ready Closes First Tranche of $1.5M non-brokered Private Placement

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Further to the news release dated December 3, 2015 announcing a non-brokered private placement financing of up to 25,000,000 units (the “Units”) at $0.06 per Unit for gross proceeds of up to CDN $1,500,000 (the “Offering”), Mission Ready Services Inc. (“Mission Ready” or the “Company”) reports that it has closed the first tranche of 18,409,085 Units raising gross proceeds of CDN $1,104,545.

Each Unit consists of one common share in the capital of the Company (a “Share”) and one share purchase warrant (each whole warrant, a “Unit Warrant”). Each Unit Warrant entitles the holder to purchase one additional common share in the capital of the Company (a “Unit Warrant Share”) at a price of $0.15 per Unit Warrant Share until December 18, 2017. The Units were sold, on a private placement basis, to persons who qualified as “accredited investors” or by other such exemptions available under applicable securities legislation in Canada and other jurisdictions determined by the Company.  The securities offered are subject to resale restrictions of four months plus one day pursuant to the applicable securities laws.

In consideration, finders were paid a cash commission of $59,785 and 1,017,247 broker unit warrants. Each warrant shall entitle the holder thereof to acquire one additional unit at a price of $0.06 per unit expiring on December 18, 2017.

Mission Ready Protest Decision

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Mission Ready Services Inc. (“Mission Ready” or the “Company”) is pleased to announce that the United States Government Accountability Office (“GAO”) has released its decision in sustaining a protest filed by the Company’s subsidiary Protect The Force Inc. (“PTF”) contesting the contract awards under Solicitation W91CRB-15-R-0027 for the Ballistic Combat Shirt (“BCS”) issued by the US Army (“Agency”).

Highlights of the recent GAO decision:

  • Sustains the PTF protest challenging the “US Army’s” evaluation of awardees’ technical proposals. GAO has determined that the BCS evaluation conducted by the US Army was not reasonable nor was it consistent with the solicitation’s evaluation criteria.
  • Recommends that the US Army re-evaluate proposals and make new awards to firms with technically acceptable shirts or determine that lower minimum technical requirements are acceptable and conduct another solicitation.
  • Recommends that PTF recover its protest filing and legal fees.

Further to the news release of December 07, 2015 announcing that the GAO had sustained Protect The Force’s protest, the GAO has released the following recommendations:

“We recommend that the Army either: (1) reasonably re-evaluate the proposals in accordance with the RFP as written, and make new source selection decisions; or (2) re-examine the RFP’s minimum requirements and evaluation criteria, to determine whether they accurately and unambiguously reflect the agency’s needs, and, if appropriate, amend the RFP, re-open discussions, obtain and evaluate revised proposals, and make new source selection decisions.

We also recommend that the protester be reimbursed its reasonable costs of filing and pursuing this protest, including attorneys’ fees.”

Mission Ready and PTF appreciates the decision and recommendations made by the GAO and stand ready to assist the US Army in ensuring its Soldiers will receive a high level of protection with the fielding of the BCS – at the lowest cost.

The Company states again that it has no assurances that it will receive an award or any financial benefit from the US Army as a result of the sustained protest and the Company awaits further action by the US Army in regards to the GAO recommendations.

Mission Ready Wins Protest

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Mission Ready Services Inc. (“Mission Ready” or the “Company”) is pleased to announce that the United States Government Accountability Office has sustained a protest filed by the Company’s subsidiary Protect The Force Inc. contesting the contract awards under Solicitation W91CRB-15-R-0027 for the Ballistic Combat Shirt issued by the US Army.

Mission Ready issued a News Release on July 31, 2015 stating that it was not successful in an award to supply its Ballistic Combat Shirt to the US Army in response to a U.S. Government solicitation totaling an initial up to $49,000,000. Protect the Force, a wholly-owned subsidiary of the Company, subsequently challenged the decision by filing a protest through the US Government Accountability Office and has received notice that its protest was sustained.

This protest is covered by a protective order, which means that some information in the decision may require redaction before public release.  A final redacted version of the decision will be reported on when this process is complete as the Company will only be provided with the redacted report that is released publicly.

On June 22, 2015 the US Army Contracting Command – Aberdeen Proving Ground conducted a competitive solicitation for a Torso Extremity Protection – Ballistic Combat Shirt in which the Company, through its wholly owned subsidiary Protect The Force Inc., submitted a bid which was accepted for meeting all technical requirements, however, the Company did not have the lowest priced bid and the Army issued the following notice on July 30, 2015: Point Blank Enterprises, Pompano Beach, Florida (W91CRB-15-D-0024); Short Bark Industries,* Vonore, Tennessee (W91CRB-15-D-0025); and Carter Enterprises,* Brooklyn, New York (W91CRB-15-D-0026), were awarded a shared $49,000,000 firm-fixed-price multiyear contract for the Soldier Protection System torso and extremity protection ballistic combat shirt with an estimated completion date of Jan. 29, 2019. Bids were solicited via the Internet with seven received. Funding and work location will be determined with each order. Army Contracting Command, Aberdeen, Maryland, is the contracting activity.  Protect The Force Inc. protested this award on a number of grounds and that it had been competitively prejudiced which the Government Accountability Office has sustained.

The Company has no assurances that it will receive an award or any financial benefit from the Army as a result of the sustained protest and the Company awaits release of the full report and any potential action by the U.S. Army in regards to the U.S. Government Accountability Office report.

Mission Ready Arranges Non-Brokered Private Placement

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Mission Ready Services Inc. The Unit Warrants are subject to a forced exercise provision whereby, if the volume weighted average price for the Company’s common shares is CDN $1.00 or greater for a period of not less than 10 consecutive trading days from a date beginning 4 months and one day following the date of issue, and the Company so elects, the holders of Unit Warrants will have 30 calendar days to exercise all or a portion of their Unit Warrants. Any Unit Warrants remaining unexercised after the expiration of the 30-day notice period will be cancelled and will thereafter be of no force or effect.

The proceeds from the Offering will be used for the advancement and growth of the Company’s current initiatives, including the commercialization and launch of its ballistic combat shirt, tactical police shirt, a No-Contact riot shield cover and other No-Contact apparel, future opportunities and general working capital.
