10-20 Services Inc. Secures National Contract with AAFES

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Mission Ready Services Inc. (“Mission Ready” or “MRSI”) is pleased to announce that 10-20 Services Inc. (“10-20” or the “Company”), a wholly-owned subsidiary of MRSI, has received a national contract (the “Contract” or “Agreement”) with the Army & Air Force Exchange Service (“AAFES”) for Tactical Gear Restoration & Cleaning Services.  The Agreement begins with Joint-Base Lewis McChord (“JBLM”) and includes provisions for 10-20 to add stores on other Department of Defense installations during the contract term, by mutual consent with AAFES.

10-20 launched its first retail location in the Post Exchange (“PX”) at JBLM in early 2013 and subsequently celebrated the launch of its second PX installation in September of 2014 at Fort Bragg. 10-20’s retail locations serve the individual soldier market and provide comprehensive, economical and convenient cleaning, decontamination and repair solutions including complimentary on-base pickup and delivery and guaranteed acceptance when returning 10-20-serviced gear to the Central Issue Facility (“CIF”).  10-20’s Western Zone Manager, retired Command Sergeant Major Vic Martinez, stated, “10-20 has found a service niche that’s a perfect fit with the Exchange.”  The Company also provides services to clean and disinfect barracks furniture.  Soon the Company will begin servicing firefighter gear and offering application of a new type of highly stain resistant, after-market treatment for soldiers’ boots.

“10-20 incorporates a ‘top down’ and ‘bottom up’ growth strategy by simultaneously developing relationships at the top levels of the Department of Defense procurement channels, at the installations and with the individual soldiers we ultimately serve” states Clay Williamson, President of 10-20 Services Inc. “We are very pleased with the timing of this contract as we move into our next growth phase which includes the synergistic addition of on-base retail stores within proximity of 10-20 decontamination and repair facilities.  With over 90 CIF’s worldwide, we now have a streamlined process for entering into these locations where appropriate for our operations.”

The Contract is for an initial two-year period, beginning April 1, 2015 and includes extension provisions for up to three (3) additional years.

Mission Ready Announces Conversion of Convertible Debentures

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Mission Ready Services Inc. (“Mission Ready” or “MRSI” or the “Company”) is pleased to announce that the majority of holders (“Holders” or “Debenture Holders”) of the Company’s outstanding convertible debentures (the “Convertible Debentures” or “Debentures”), which mature on April 12, 2015, elected to accept the incentive offered by the Company as announced on February 20, 2015 (the “Incentive Program”) to convert their Debentures into common shares of the Company.

Of the $1,090,000 in total debentures issued by the Company, $30,000 were converted in December 2014, $830,000 have elected to convert under the Incentive Program, with $230,000 outstanding Debentures remaining to mature April 12, 2015.

“We are very pleased with the response from our Debenture Holders,” states Rod Reum, President and CEO of Mission Ready. “With over 78% of the Debentures being converted into equity we are honored by the endorsement of the Company by these investors.”

Holders of Convertible Debentures are entitled to convert the Debentures into common shares of the Company at the ratio of one (1) common share for every $0.25 of Convertible Debentures held. The previously announced Incentive Program consisted of the following:

“Mission Ready Services Inc. (“Mission Ready” or “MRSI” or the “Company”) announces that the Company has been granted permission by the TSX Venture Exchange to offer to Debenture Holders (“Debenture Holder” or “Holder”) a one half warrant for the early conversion of debentures outstanding in the amount of $1,060,000. As per the original terms of the debentures issued April 15, 2013, December 18, 2013 & January 16, 2014Debenture Holders may convert debentures into common shares of the Company prior to April 12, 2015 at $0.25 per share. Upon conversion of the total amount of the debenture due, the Holder will be issued one half share purchase warrant in addition to each common share issued.  Each full Warrant shall entitle the holder thereof to acquire one additional Share (a “Warrant Share” or “Warrant Shares”) at an exercise price of $0.50 per Warrant Share and expiring on September 30, 2017.  If, at such time, the Company’s weighted average share price for 10 consecutive trading days equals or exceeds $1.00, the Company may give notice to the Warrant holders that they must exercise their remaining Warrants within a period of 30-days from the deemed date of receipt of the notice. Any Warrants remaining unexercised after the expiration of the 30-day notice period will be cancelled and will thereafter be of no force or effect.”

As a result of the conversion of the Debentures noted above, the Company has issued 3,320,000 Common Shares and 1,660,000 Warrants under the terms of the Incentive Program as defined above. The warrant securities issued pursuant to the Incentive Program are subject to a hold period of 4 months plus one (1) day from the date of conversion. All Warrants issued in connection with the Incentive Program have an expiry of September 30, 2017.

Mission Ready Doubles Capacity with Launch of Cleaning, Decontamination & Repair Facility in Barstow, California

VANCOUVER, B.C. – Mission Ready Services Inc. (TSX-V: MRS) – Mission Ready Services Inc. (“Mission Ready” or “MRSI”) is pleased to announce the expansion of its wholly-owned subsidiary, 10-20 Services Inc. (“10-20” or “10-20 Services” or the “Company”), with the launch of a new large-scale clothing and equipment cleaning, decontamination and repair facility in Barstow, California – home of Marine Corps Logistics Base Barstow (“MCLB Barstow”).

In a News Release dated August 20, 2014, Mission Ready announced that “10-20, in a teaming arrangement with prime contractor Carl Amber Brian Isaiah and Associates (“CBAIA”), (CBAIA and 10-20 collectively “Team Barstow”), Team Barstow has been awarded under Contract/Purchase Order/Agreement No. M67004-13-D-0029 up to $8.3 million to provide warehousing and operations support services to clean and launder, stock and store up to 7,800 pallets of Individual Protective Personnel Equipment (IPPE) for the Marine Corps Logistics Systems Command (“MCLC”).

10-20 has been cleaning and decontaminating on average over 80 pallets per week of Infantry Combat Equipment (“ICE”) at its current facility near Joint Base Lewis-McChord in Lakewood, Washington and the Fort Bragg facility in Fayetteville, North Carolina.  The Barstow facility will allow the Company to more than double its output.

10-20 Services has demonstrated the success of its process and technology servicing gear for the Special Operations Command where it has inspected, cleaned, decontaminated and repaired, where required, over 110,000 pieces of gear to date returning the gear back into service at approximately an 88% savings to the customer.

Mission Ready’s Protect The Force Inc Wins Subcontract on Department of Homeland Security Award for Next Generation First Responder Uniforms

(“PTF” or “Protect The Force” or the “Company”), has been awarded a 14 month, $97,500 subcontract through prime contractor, North Carolina State University – Textile Protection and Comfort Center (“NC State-TPACC”), to develop an Advanced Multipurpose Base ensemble for Emergency Responders (“AMBER”) for the Department of Homeland Security (“DHS”).

Through a Cooperative Agreement from DHS’s Science and Technology Directorate to NC State’s Textile Protection and Comfort Center (“T-PACC”), PTF will collaborate with T-PACC and leverage its vast commercial textile industry network and cutting-edge technology portfolio to provide subject matter expertise in advanced protective materials selection including the identification of materials as they relate to functional design, prototyping, end-user functionality requirements, desired performance attributes, material availability, and manufacturer competence and readiness.

PTF’s team of product development experts based in the innovation district of Boston, MA, will support NC State-TPACC in the development of concepts for review and selection by DHS to be prototyped and then manufactured for limited user evaluations. The team is also exploring the integration of the No-Contact technology for further user evaluations.
